By submitting this dealer application, the undersigned agrees to the following terms and conditions, which constitute a legally binding agreement between you (“Dealer”) and Rugged Radios.

1. Authorization for Credit Card Charges
You authorize Rugged Radios to charge the credit card(s) provided for any purchases made via telephone, internet, or in-person transactions. All payments will be processed via credit card unless otherwise agreed upon in writing.

2. Acceptance of Terms
By submitting this application, you confirm your acceptance of these terms and agree to be bound by them in full. This agreement governs your participation in the Rugged Radios dealer program.

3. Dealer Eligibility
You represent and warrant that:
• You are legally authorized to conduct business in your operating jurisdiction(s).
• You possess all necessary licenses and permits required by law to operate as a dealer.

4. Accuracy of Information
You agree to provide complete and accurate information within this application. Any false or misleading information may result in denial of your application or termination of your dealer status.

5. Confidentiality
As a dealer, you may receive confidential and proprietary information, including but not limited to pricing, product specifications, and marketing materials. You agree to maintain strict confidentiality and not share this information with third parties without prior written consent from Rugged Radios.

6. Intellectual Property
All trademarks, copyrights, trade secrets, and other intellectual property in Rugged Radios products and materials are the sole property of Rugged Radios. You agree not to use, reproduce, distribute, or alter these materials without express written permission.

7. Compliance with Laws
You agree to comply with all applicable laws, regulations, and industry standards regarding the sale, promotion, and distribution of Rugged Radios products, including those related to product safety, advertising, and labeling.

8. Indemnification
You agree to indemnify, defend, and hold harmless Rugged Radios and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, or expenses (including reasonable attorneys’ fees) arising from:
• Your breach of this agreement
• Your negligent or wrongful acts or omissions

9. Term and Termination
This agreement becomes effective upon acceptance of your dealer application by Rugged Radios and will remain in effect unless terminated by either party. Rugged Radios reserves the right to revoke dealer privileges at any time, with or without notice.

10. Modifications to Terms
Rugged Radios may modify these terms at any time without prior notice. Continued participation as a dealer constitutes acceptance of the modified terms.

11. Third Party Sales
Rugged Radios does NOT allow the resale of Rugged Radios products on third party online marketplaces such as Amazon, eBay, Walmart, Target, Etc.
